This Privacy Policy (“Policy”) describes how Cradlewise Inc. (“Cradlewise,” “we,” “our,” or “us”) collects, uses, and shares your Personal Data (as defined below) when you access the Cradlewise website located at https://cradlewise.com/ (the “Site”) and features, products (including the Cradlewise smart crib), services, and mobile and web applications (collectively “Apps,” and “Cradlewise App” when referring to our mobile app) (individually and collectively the “Products and Services”). The Products and Services and the Site are collectively referred to as the “Platform.”

For the purposes of this Policy, "User" (or “you,” “your,” or “yours”) means a person or entity who uses the Platform, whether as a paying customer, Site visitor, or another individual whose information we have collected pursuant to this Policy.

“Personal Data” or “Personal Information” means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to you. Personal Data does not include information that is publicly available as defined by applicable privacy legislation or is anonymized.

Please read this Policy carefully. By using and accessing any part of our Platform, you agree to the collection, use, and disclosure of your Personal Data as described in this Policy. This Policy is incorporated into Cradlewise's Terms and Conditions (“Terms”) and by agreeing to the Terms, you agree to this Policy. If you do not agree to this Policy or the Terms, please do not use or access any part of the Platform.

The information we collect varies depending on how you access and use the Platform. To provide our Services, we collect and have collected over the past 12 months Personal Data about you from a variety of sources, as set forth below.

Categories of Sources of Personal Data

Information You Provide Directly to Us

You may provide us with Personal Data about you when you register an account on the Platform; use or access the Platform (including, and importantly, when you use your Cradlewise crib, including its technology (e.g., crib camera) and our Services); request any information through our chatbot or by contacting our Customer Support; make a purchase, including a purchase of a Cradlewise Smart Crib and any accessories, or a purchase a Cradlewise Plus Paid Subscription (“Cradlewise Plus” or “Paid Subscription”); fill out any forms; enter a sweepstakes or contest; participate in polls or surveys; register for a promotion; transmit User Content (as this term is defined in the Terms); download or use our Apps; visit our Site; consent to our collection of information, such as when you grant us permission to collect your device’s information for a specific purpose; or otherwise communicate with us or other Users through the Platform. This list is illustrative, not exhaustive; this Policy applies to all your uses of the Platform.

Additionally, you provide us with your baby’s Personal Data, either directly (for instance, when you create an account and provide your baby’s name and age; or when you provide information about your baby in responses to questionnaires and surveys) or when you use the Platform and such information is collected automatically (for instance, when you place the baby in the crib with non-disabled data uploads, allowing us to collect your crib's periodic images, sampled audioless video clips and audio spectrograms for the purposes of training the AI for Smart Soothing; or when you download the Cradlewise App and allow location permissions, we receive information about your crib’s precise geolocation for obtaining the crib timezone).

Information We Collect About You from Third Parties

We may receive Personal Data from the following categories of third parties:

  • Vendors we use to generate leads;
  • Advertising partners and social networks , if you provide your social network account credentials to us or otherwise sign in to the Platform through a third-party site or service, some content and/or information in those accounts may be transmitted into your account with us;
  • Third-party payment processors we use to process payment transactions for your purchases on the Platform (Shopify and Stripe).

Information That Is Passively or Automatically Collected; Cookies

Device/Usage Information. We and certain third-party vendors, including ad networks and analytics providers, may use cookies, web beacons, and other tracking technologies to collect information about the computers or devices (including mobile devices) you use to access the Platform. As described in the table above, we and these third-party vendors may collect and analyze information about your device and about your usage of our Platform. We may also track and record when and how frequently you access or use the Platform, or how you browse the Platform. We use this information (including the information collected by relevant third-party vendors) for Platform analytics (including to determine which portions of the Platform are used most frequently and what our Users like/do not like), to assist in determining relevant advertising (both on and off the Platform), to evaluate the success of our advertising campaigns, and as otherwise described in this Policy.

Location Information. When you use the Platform, we may collect general location information (such as your precise location as inferred from your IP address or interaction with geotargeted ads). If you install the Cradlewise App, depending on your device settings and any permissions you have granted, we may collect information about your precise geolocation, and we may use that information to improve the Platform. We may disclose your general location information to our agents, vendors, and advertisers. If you access the Platform through a mobile device and you do not want your device to provide us with location-tracking information, you may be able to disable the GPS or other location-tracking functions on your device. See your device manufacturer's instructions for further details. If you disable certain functions, you may be unable to use or only partially use certain parts of the Platform.

Cookies and Other Electronic Technologies. We and our third-party vendors may use cookies, clear GIFs, pixel tags, and other technologies that help us better understand User behavior, personalize preferences, perform research and analytics, and improve the Platform. These technologies, for example, may allow us to tailor the Platform to your needs, track the pages you visit, help us manage Content, and compile statistics about Platform usage. We may also use certain of these technologies to deliver advertisements through the Platform that may interest you or to advertise ourselves and the Platform to you on other websites. We or our third-party vendors also may use certain of these technologies in emails to our Users to help us track email response rates, identify when our emails are viewed, and track whether our emails are forwarded. The third-party cookies we allow on the Site include Google Ads & GA4, Meta pixel, Tiktok pixel, Affirm, Klarna, Microsoft Clarity, Hotjar, Twitter, Linkedin, Pinterest, Bing, Adobe, Reddit, Intercom.

You can choose to accept or decline cookies. Most web browsers automatically accept cookies, but your browser may allow you to modify your browser settings to decline cookies if you prefer. If you disable cookies, you may be prevented from taking full advantage of the Platform, because it may not function properly. As we adopt additional technologies, we may also gather additional information through other methods.

We do not respond to web browser Do Not Track (“DNT”) signals.

How We Use Your Personal Data

We may use your Personal Data for any of the following purposes:

  • For the purposes for which you provided it;
  • To enable you to use the Platform, including to allow you to register and maintain your account, to allow you to purchase our Products and Services, and to allow you to use our Basic Services and Paid Subscription, as applicable;
  • To enable, develop, and improve our AI Technology (as defined below);
  • To provide your Cradlewise crib with personalized or general over-the-air (OTA) updates (depending on your choices (see Section “Your Choices” below));
  • To track fees and process billing and payments, including sharing with third-party payment gateways and payment vendors in connection with the Platform;
  • For customer support and to respond to your inquiries;
  • Provide sleep tips based on the baby’s sleep patterns;
  • To improve and maintain the Platform and for product development;
  • To administer surveys, sweepstakes, promotions, or contest;
  • For internal record-keeping purposes;
  • To market and advertise our Products and Services and Platform, including to send promotional emails regarding new Products and Services, special offers, or other information that may interest you;
  • To improve our customer support, marketing and promotional efforts, to analyze Platform usage, improve the Platform’s content, layout and Services features;
  • As permitted under applicable law, to contact you by text message or email regarding certain Products and Services you purchased, such as transaction-related and account-maintenance communications, including welcome emails and billing reminders, or information you have requested;
  • As permitted under applicable law, to contact you by telephone or text message regarding Platform features, improvements, or other Products and Services that may interest you;
  • For our market research purposes, including, but not limited to, the customization of the Platform according to your interests;
  • To contact you with information about your use of the Platform;
  • For other research and analytical purposes;
  • To address fraud and safety concerns;
  • To comply with applicable laws and regulations;
  • To resolve disputes, to protect ourselves and other Users of the Platform, or third parties, including to protect individual or property safety; and to enforce any legal terms that govern your use of the Platform;
  • To transfer the Personal Data and the rights associated therewith to a third party as part of reorganization or a sale of some or all our assets;
  • For any purposes consistent with this Privacy Policy and to support Cradlewise’s legitimate business purposes; and
  • For any other purpose, with your consent.

We may combine the information we collect (“aggregate”) or remove pieces of information (“de-identify”) to limit or prevent identification of any particular User or device. We may use or disclose this aggregated or de-identified information at our discretion.

How We Share Your Personal Data

  • Consent. We may disclose your Personal Data to third parties based on your consent for us to do so.
  • Vendors. We may share your Personal Data with service providers who perform services on our behalf, including accounting, billing, sales, marketing, advertising, market research, fulfillment, data storage, analysis and processing, identity verification, fraud and safety protection, and legal services. These vendors include Amazon AWS, Google Workspace, Atlassian, Slack, Intercom, Klaviyo , Junip, Google Analytics, Amplitude, Firebase, Shopify, Wordpress, Hotjar, Microsoft Clarity, Klarna, Affirm, Avalara, Affiliately, Amazon Pay, Shop Pay, Stripe, Afterpay, Tiptop, Apple and PayPal.
  • Affiliates and Business and Marketing Partners. We may disclose your Personal Data to any of our affiliates and business and marketing partners, including Google, YouTube, Meta, TikTok, Reddit, Pinterest, Bing, Linkedin for our and their legitimate business purposes. We may share such Personal Data with them via use of add-ons for tracking technologies on our website, including Google Tag Manager, Meta pixel, TikTok pixel.
  • Other Users. We may share your User Content with other Users or Site visitors. (Please carefully read our Terms to understand what constitutes User Content and our usage rights of your User Content.)
  • Business Transfers. As we continue to develop our business, we may sell, buy, merge or partner with other companies or businesses, or sell some or all of our assets. In such contemplated or actual transactions or where there is any change of control of Cradlewise, your Personal Data may be among the disclosed and/or transferred assets.
  • Legal Requirements. We may disclose your information when required by law or when we believe in good faith that such disclosure is necessary to: (a) comply with subpoenas, court orders, or other legal process we receive; (b) establish or exercise our legal rights including enforcing and administering agreements with Users; or (c) defend Cradlewise against legal claims. While you may challenge the disclosure request, please be advised we may still be legally required to turn over your information.
  • App Store Providers. We may provide your identity and mobile device identifier to third-party app store providers (for example, the Apple App Store) to allow you to download our mobile apps.
  • Protection of Cradlewise and Others. We may disclose your Personal Data when we believe it appropriate to investigate, prevent, or take action regarding possible illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of the Terms or any other legal terms governing use of the Platform, and/or to protect our rights and property and the rights and property of others.

Communications

Opt Out of Email Marketing

We may send periodic emails to you. You may opt out of promotional emails by following the opt-out instructions contained in the email. Please note that it may take up to 10 business days for us to process opt-out requests. If you opt out of receiving promotional emails, we may still send you emails about your account or any Services you have requested or received from us, transactions, or changes to our Terms, this Policy, or other relevant terms.

SMS Text Messaging Disclosure

By using the Platform, you expressly consent and agree to accept and receive communications from us, including via text message, calls, and push notifications to the cellular telephone number you provided to us. Standard text messaging charges applied by your cell phone carrier will apply to text messages we send. By consenting to being contacted by us, you understand and agree that you may receive communications, including marketing communications generated by automatic telephone dialing systems which will deliver pre-recorded messages, sent by or on behalf of Cradlewise or its affiliates or vendors , including but not limited to: Service updates and alerts, such as delivery confirmations, changes, and reminders; operational communications regarding your account or use of the Platform; updates regarding new and existing features on the Platform; communications regarding promotions run by us; Customer Support responses to your inquiries and requests for assistance; and news regarding Cradlewise and industry developments.

You acknowledge that you are not required to consent to receive promotional messages as a condition of using the Platform. If a contact number you have provided to us is no longer your number, you agree to notify us promptly that you can no longer be reached at that number. You represent that you have received, and are authorized to convey to us, the consent of any authorized users on your account to be contacted by us as described in this Section. You agree that all consents provided in this Section will survive cancellation of your account, unless expressly revoked.

Opt Out of SMS Text Messaging

You may opt-out of receiving promotional or marketing texts or calls from us at any time. You may opt-out of receiving all text (SMS) messages from us (including informational or transactional messages) by replying with the word “STOP” to a text message from us; however, you acknowledge that opting out of receiving all texts may impact your use of the Platform.

Cradlewise Chatbot

If you choose to chat with our Customer Support via the Site chat or by emailing us on any of our support email IDs, please be aware that your communications will be recorded, transcribed, and shared with Intercom, a third-party service provider that offers chatbot and customer service tools to Cradlewise. If you do not consent to the recording and sharing of your conversation, please refrain from using the chat feature and reaching out to our Customer Support via email.

Sweepstakes, Contests, and Promotions

We may offer sweepstakes, contests, and other promotions (collectively “Promotion”) through the Platform that may require providing Personal Data to register. By participating in a Promotion, you are agreeing to the official rules that govern that Promotion, which may contain specific requirements of you, including, allowing the sponsor of the Promotion to use your name, voice and/or likeness in advertising or marketing associated with the Promotion. Please read the official rules carefully. If you choose to enter a Promotion, Personal Data may be disclosed to third parties or the public in connection with the administration of such Promotion, including, in connection with winner selection, prize fulfillment, and as required by law or permitted by the Promotion's official rules, such as on a winners' list.

Privacy of Minors

As stated in our Terms, our Platform is offered for use exclusively by Users in the United States, Canada, and India who are at least 18 years of age (or such other age of majority as established by applicable law). Users under the age of majority in their jurisdiction may not, under any circumstances or for any reason, use the Platform as a customer.

You acknowledge that the nature of the Services may require us to collect or otherwise process certain personal information of children under the age of 18, consistent with this Policy and our Terms, in order for the Services to operate as intended and for you to receive the benefit of the Services. You consent to any such collection, use, and disclosure of such personal information as set forth in this Policy. You represent and warrant that you have the authority to provide this consent.

If we discover, or if you inform us, that an individual under 18 has provided us with Personal Information without the consent of a parent or legal guardian, we will close the account and delete that individual’s Personal Data as required by law, including the Children's Online Privacy Protection Act. We may, where permitted by law, retain certain information internally for purposes described in this Policy.

International Visitors; Consent to Transfer

Cradlewise operates and is based in the United States. Our Platform, including our Products and Services, is intended for use only in the United States, Canada, and India. As a User located in the United States, Canada, and India, you consent to our collection, transfer, storage and any other processing of your Personal Data in the United States.

If you are not located in the United States, Canada, or India, we encourage you to not share your Personal Data with us. If you nevertheless choose to submit User Content to us, please be aware that your Personal Data may be transferred to, or processed and stored in, the United States and other countries, which may employ greater or less restrictive data protection laws. Please be aware that the data protection laws and regulations that apply to your Personal Data transferred to the United States or other countries may be different from the laws in your country. In all cases, we will take appropriate measures to protect your Personal Data in accordance with the standards described in this Policy. If you create an account with the Platform as a visitor from outside the United States, by using the Platform, you agree to this Policy and you consent to the processing of all your Personal Data in the United States.

Retention of Your Personal Data

We keep the categories of Personal Data described above for as long as is necessary for the purposes described in this Policy or otherwise authorized by law. This generally means holding the information for as long as one of the following apply:

  • Your Personal Data is reasonably necessary to manage our operations, to manage your relationship with us, or to satisfy another purpose for which we collected the information;
  • Your Personal Data is reasonably necessary to carry out a disclosed purpose that is reasonably compatible with the context in which the personal information was collected; or
  • The Personal Data is reasonably required to protect or defend our rights, health, safety, or property (which will generally relate to applicable laws that limit actions in a particular case).

Where Personal Data is collected and used for more than one purpose, we will retain it until the purpose with the latest period expires

Data Protection

The security and confidentiality of your Personal Data is important to us. We have implemented commercially reasonable technical, administrative, and physical security measures to protect your Personal Data from unauthorized access or disclosure and improper use. It is important for you to protect against unauthorized access to your account password and to your computer. Be sure to log out of your account or to close your browser after you have completed your visit to our Platform. Please note that despite our reasonable efforts, no security measure is perfect or impenetrable, therefore, we cannot guarantee the absolute security of your Personal Data. Cradlewise is not liable for the loss of Personal Data caused by Users actions or inactions.

Links to External Platforms

The Platform (e.g., our Blog ) may contain links to third-party websites or resources over which Cradlewise does not have any control; please review such other websites’ privacy policies as to their use of personal information. Such links do not constitute an endorsement by Cradlewise of those third-party websites. You acknowledge that Cradlewise is providing these links to you only as a convenience, and further agree that Cradlewise is not responsible in any way for such third-party websites, including without limitation for their content or how they treat information you provide to them.

Your Choices

You may contact us at support@cradlewise.com to correct, update, or delete your Personal Data. If you are a User in Canada, you also have the right to view the Personal Data we have about you. Upon your request, we will close your account and remove your profile information from view as soon as reasonably possible. We may retain information from closed accounts in order to comply with the law, prevent fraud, collect any fees owed, resolve disputes, troubleshoot problems, assist with any investigations of any User, enforce our Terms of Service, and/or for any other purposes otherwise permitted by law that we deem necessary in our sole discretion. You should understand, however, that once you transmit User Content through the Platform, it may be acquired by others who may not be required to delete or modify such User Content. Once we have deactivated or removed your account, you agree that Cradlewise will not be responsible for retaining information related to your account.

We may monitor, record, and transcribe our telephone and chatbot conversations with you for training and quality assurance purposes. You will be provided with a notice at the beginning of any call or chat session that is being recorded and/or transcribed.

AI Technology and OTA Updates. The Services and Cradlewise’s software, text, graphics, images, video or audio data, and other technology and materials made available to you through the Services (collectively referred to as the “Content”) include proprietary technologies and other intellectual property owned by Cradlewise, such as artificial intelligence, algorithms, machine learning systems and models, deep-learning AI vision and audio models, and similar technology and features (together, “AI Technology”). Cradlewise may use AI Technology to provide you with the Services, including periodically adjusting the crib’s response to your baby’s specific sleep pattern and needs, as AI Technology learns more about your baby over time.

Unless you opt out in the Cradlewise App’s “Allow Data Uploads” Setting, event-based audio-less video-clips and images from the area inside the crib, event-based audio spectrograms for cry detection and depth sensor point clouds collected through your use of the Cradlewise crib, Apps, and any other Cradlewise Products or Services shall be accessed, used, and stored by Cradlewise in accordance with the Terms and this Policy. Cradlewise uses data obtained from your crib for various purposes, as set forth above, including to train our AI model to maintain and create software and firmware updates specific to your baby’s needs. We provide periodic over-the-air (“OTA”) software updates to all of the cribs that are active on the Platform. If you opt out of the use of AI features, the periodic OTA updates that will be made available to your crib will not be individualized to your baby and may not provide the optimal experience. Cradlewise maintains strict internal controls for access to the various categories of Personal Data and restricts it to personnel on a need-to-know basis.

If you are a resident of certain states, you may have certain rights regarding your information.

  • Residents of the states of California and Texas: See our Supplemental Privacy Notice for California and Texas Consumers below.
  • Other U.S. States’ Consumers. Cradlewise is not in scope for the application of state privacy laws of the states of Colorado, Connecticut, Delaware, Iowa, Montana, Oregon, Tennessee, Utah, or Virginia and, therefore, does not comply with these laws.

Changes to this Policy

This Policy is current as of the effective date set forth above. Cradlewise may, in its sole and absolute discretion, change this Policy at any time. Cradlewise will post its updated Policy on the Platform. Cradlewise encourages you to review this Policy regularly for any changes. Your continued access to or use of the Platform will be subject to the terms of the then-current Policy.

Supplemental Privacy Notice for California and Texas Consumers

This Supplemental Privacy Notice for California and Texas Residents supplements the information in the Privacy Policy (“Policy”) above,, and except as provided herein, applies solely to California and Texas residents, as defined by the California Consumer Privacy Act (as amended by the California Privacy Rights Act (“CPRA”) and applicable regulations (collectively referred to as “CCPA”)) and Texas Data Privacy and Security Act (“TDPSA”). It applies to “Personal Information” or “Personal Data” (as defined by the CCPA and TDPSA and used herein interchangeably) that we collect on or through the Platform and through other means (such as information collected offline, in person, through the Site chatbot, and over the telephone).

This Supplemental Privacy Notice applies to business information we collect from business and marketing partners and vendors who reside in California, but not those who reside in Texas.

How We Collect, Use, and Disclose Personal Information of California and Texas Residents

The CCPA and TDPSA require us to disclose information regarding the categories of Personal Information that we have collected about consumers, the categories of sources from which we collect Personal Information, the business or commercial purposes (as each of those terms is defined by the CCPA and TDPSA, respectively) for which we collect Personal Information, and the categories of parties to whom we disclose Personal Information. Please review the Policy above for this information.

Some of the categories of Personal Information described above are also “Sensitive Personal Information,” as that term is defined in the CCPA or “Sensitive Data,” as that term is defined in the TDPSA. The Sensitive Personal Information we may have collected in the preceding 12 months are: (1) precise geolocation; (2) your baby’s health information. You have the right to limit certain uses and disclosures of your Sensitive Personal Information or Sensitive Data. We do not use or disclose Sensitive Personal Information or Sensitive Data for purposes that are subject to the right to limit.

Your CCPA and TDPSA Rights

If you are a California or Texas consumer (as defined by the CCPA and TDPSA, respectively), you may exercise your consumer privacy rights by submitting a verifiable consumer request to us at support@cradlewise.com.

Right to Know

You can make a request to know up to twice a year, free of charge.

You have the right to request that we disclose to you: (1) the categories and/or specific pieces of Personal Data we have collected about you, (2) the categories of sources for that Personal Data, (3) the purposes for which we used that information, (4) the categories of third parties to which we disclosed Personal Data, and (5) the categories of Personal Data that we sold or disclosed to third parties. Right to Access

You have the right to request that we provide you with copies of your Personal Data in a portable format.

Right to Delete

You have the right to request that we delete Personal Data we collected from or about you, subject to certain exceptions. For instance, we may deny your deletion request if we require your Personal Data to complete the transaction for which we collected the Personal Data; detect bugs or errors; detect security incidents; protect against malicious, deceptive, fraudulent, or illegal activity, or prosecute those responsible for such activities; enable solely internal uses that are reasonably aligned with consumer expectations; comply with a legal obligation; or make other internal and lawful uses of that information as permitted by law or that are compatible with the context in which we collected it.

Right to Limit Use and Disclosure of Sensitive Personal Data

You have the right to request that we limit the use of your sensitive Personal Data (e.g., your baby’s health information, your precise geolocation data) to specific purposes, such as providing you with the services you requested.

We only process Sensitive Personal Data for the purposes disclosed in the Policy and only with your permission. We do not use “Biometric Information” or “Biometric Data” as those terms are defined in the CCPA and TDPSA, respectively.

Right to Correct

You have the right to request that we correct inaccuracies in your Personal Data that we hold.

Right to Opt-Out of Sale or Sharing, Targeted Advertising, and Profiling

You have the right to request that we stop selling or sharing your Personal Data (“opt-out”).

We do not sell Personal Data to third parties; we are not data brokers, and we do not put Personal Data on the open market. We may allow third parties to collect personal information through tracking technologies on the Site. You may submit your request to opt out of your Personal Data being shared through tracking technologies by submitting a request to support@cradlewise.com.

You also have the right to request that we do not process your Personal Data for the purposes of targeted advertising or for the purposes of profiling in furtherance of a decision that produces a legal or similarly significant effect with respect to your person.

Right to Non-Discrimination

You have the right to not be discriminated or retaliated against for the exercising of your rights under the CCPA or TDPSA.

We will not discriminate or retaliate against you for exercising your privacy rights, including we will not deny you Products or Services, charge you different prices for Products or Services, or provide you a different level or quality of Products or Services.

To exercise any of these rights, you may submit a request at support@cradlewise.com. You will be required to verify your identity before we are able to fulfill your request, for instance by logging into the Platform. You can also designate an authorized agent to make a request on your behalf. To do so, you must provide us with written authorization or a power of attorney, signed by you, for the agent to act on your behalf. You may still need to verify your identity directly with us.

Consistent with the CCPA and TDPSA and to protect the privacy of your Personal Data, we will verify your identity and fulfill your request within forty-five (45) days of its receipt. If we require additional time to fulfill your request, we will notify you within those forty-five (45) days and explain the reasons for the additional time. We will deliver our response to the email address associated with your account.

If we refuse to take action on your request and you are a resident of Texas, you have the right to appeal our refusal within thirty (30) days of your receipt of the decision by contacting us in the same manner in which you submitted your request (e.g., by emailing us at support@cradlewise.com).

California Shine the Light Disclosure

If you are a California resident, you may ask for a list of third parties that have received your information for direct marketing purposes during the previous calendar year. If we have disclosed your information, this list will contain the types of information disclosed, and we will provide this list at no cost.
